On December 10, 2003, Douglas Kerner, attorney for Independent Energy Producers
Association (IEP), met with Cmmr. Lynch in San Francisco. Also present were
Aaron Johnson, advisor to Cmmr. Lynch, and Steven Kelly, Policy Director of
IEP. IEP stated its position and concerns with respect to Cmmr. Lynch's
alternate. IEP expressed its primary view that utility procurement should
occur through an open, transparent and competitive process, irrespective of the
payment or cost recovery structure of the project resultant from that process.

LATE FILED. On December 2, 2003, Mike Hoover, Director, Regulatory Affairs,
Southern California Edison Company (SCE), met with David Gamson, advisor to

ratebasing Mountainview was not a viable option going forward and that the
Commission should adopt SCE's proposed power purchase agreement.

On December 9, 2003, Bruce Foster, Vice President, Regulatory Operations,
Southern California Edison Company (SCE), met with Cmmr. Lynch in San
Francisco. Also present were Aaron Johnson, advisor to Cmmr. Lynch, and Ann
Cohn, Associate General Counsel, Gary Schoonyan, Director, and Tom Burhenn,
Manager, Regulatory Operations, SCE. SCE representatives expressed its support
for the proposed decision (PD) over the alternate. SCE representatives stated
that it was unable and unwilling to acquire Mountainview as a directly-owned
asset until the customer base stability and cost recovery issues had been
addressed. SCE representatives explained that there were negative consequences
to SCE and its customers if Mountainview was not acquired through a Federal
Energy Regulatory Commission (FERC)-jurisdictional affiliate. Responding to a
concern over FERC making changes to the power purchase agreement, SCE
representatives noted that the PD prevents SCE from executing the contract if
FERC makes changes that affect rates without getting Commission approval of the
changes.

On December 8, 2003, Mark Fogelman of Steefel, Levitt & Weiss, P.C., attorneys
for the Navajo Nation, met with Cmmr. Kennedy in San Francisco. Also present
were Ross LaJeunesse, advisor to Cmmr. Peevey, and Christine Hammond of
Steefel, Levitt & Weiss, P.C. Fogelman stated that, among the many legal
errors, is the proposed decision's (PD) failure to include a comparative
analysis between Mountainview and other feasible energy alternatives, such as
the Mohave Generating Station, in violation of Public Utilities Code Section
1001, the California Environmental Quality Act, and the Public Utility Holding
Company Act. Fogelman noted that undisputed record evidence shows that Mohave
is more cost-effective than Mountainview. Fogelman also communicated the
Navajo Nation's concern that Southern California Edison Company's (SCE)
Mountainview Application would prejudice the future of the Mohave Generating
Station. In view of the likelihood that the final decision will be overturned
on appeal if the PD remains unchanged, Fogelman recommended that the Commission
keep the proceeding open.

Michael Campbell and Aaron Johnson, advisors to Cmmr. Lynch, Ross LaJeunesse,
advisor to Cmmr. Kennedy, and Manuel Ramirez and Steven Weissman, advisors to
Cmmr. Wood. The letter responds to a question raised at the all-party meeting
requesting further information as to how a catastrophic even at the
Mountainview facility would be treated under SCE's proposed Power Purchase
Agreement.

Description:
On September 5, 2003, Bruce Foster, Vice President, Regulatory Operations,
Southern California Edison Company (SCE), participated in an all-party meeting
with Cmmr. Wood in San Francisco. Also present was Steven A. Weissman, advisor
to Cmmr. Wood, Gary Schoonyan, Director, SCE San Francisco office, and other
attendees listed on the attachment to the notice. Foster indicated that it was
imperative that the Commission make a decision on SCEs application by December
2003, and, in moving in that direction, issue the Scoping Memo in the very near
future. Foster indicated that the Scoping Memo needs to establish a memorandum
account and provide findings addressing the issues on the need for a Request
for Proposal and the validity of the Power Purchase Agreement structure.

AUGMENTATION REQUIRED. On September 5, 2003, Pearlie Sobino of the Office of
Ratepayer Advocates (ORA), met with Cmmr. Wood in San Francisco. Also present
were Steve Weissman, advisor to Cmmr. Wood, Scott Logan and Robert Cagen, for
ORA, and other attendees. Written material (attached to the notice) was used.
Cagen discussed the lack of cost-effectiveness or need analysis offered by
applicants, and the inability of other parties to provide cost-effectiveness
input because of a lack of information. Cagen further discussed the affiliate
rulemaking decision and the KRCC decision prohibiting the application relief,
and that the Edison holding company was not yet formed when the KRCC contract
was executed. Cagen described the advantages of utility-owned generation and
unaffiliated generation to Mountainview. Cagen also discussed the
impracticality of the schedule Edison is seeking to impose on the
Commission.

On September 5, 2003, Marc Joseph, attorney for the Coalition of California

Francisco. Also present were Steve Weissman, advisor to Cmmr. Wood, Robert
Kinosian, advisor, Julie Fitch, advisor to Pres. Peevey, Belinda Gatti, advisor
to Cmmr. Brown, and Ross LaJeunesse, advisor to Cmmr. Kennedy, Gary Schoonyan,
Bruce Foster and Mike Hoover, for Southern California Edison Company, Mark
Fogelman and Christine Hammond, for the Navajo Nation, Don Brookhyser, for the
Cogeneration Association of California/Energy Producers and Users Coalition,
Andy Brown, for the Independent Energy Producers, Joe Karp, for the California
Cogeneration Council, Robert Cagen, for the Office of Ratepayer Advocates, Sara
Myers, for the Center for Energy Efficiency and Renewable Technologies, Jim
Conran and Maryanne McCormick, for the California Small Business Association,
Billy Blattner, for San Diego Gas & Electric Company, Matt Freedman, for The
Utility Reform Network, Terry J. Houlihan, Mark Iamonaco and Laurence E.
Skinner, for Sequoia Generating Company, John Redding, for the Silicon Valley
Manufacturing Group, John Clarke and Valerie Winn, for Pacific Gas and Electric
Company. Joseph stated that Edison needs the Mountainview plant to meet its
needs in 2006 and later. Joseph also suggested that using a Federal Energy
Regulatory Commission regulated contract was second best, not as good as direct
utility ownership. Joseph noted that the legitimate reason for a `competitive
process' was to determine if the cost of the project was a good deal for
ratepayers and that that determination could be made by comparing the costs of
this project to the costs of other similar projects. Finally, Joseph noted
that CUE has a big stake in the continued operation of Mohave, but there is no
conflict between keeping Mohave open and approving the Mountainview application.

the Mountainview Power Project involved SCEs request for approval of a
unit-contingent, gas-tolling power contract with a wholly owned subsidiary of
SCE. SCE representatives stated that this opportunity, if approved, would
result in the acquisition of additional generation capacity at a price below
the estimated full construction cost of a comparable facility. SCE
