MacBride, Jr. of Goodin, MacBride, Squeri, Ritchie & Day, LLP, attorneys, for Qwest. Ward and MacBride discussed the draft decisions in the SBC-AT&T and Verizon-MCI merger proceedings as well as the recently announced decision of the Federal Communications Commission (FCC) related to the same mergers. MacBride and Ward stated that the precise scope of the FCC decision is not yet known and that the California Public Utilities Commission may be required to supplement the conditions ordered by the FCC. Qwest representatives expressed concern that some of the rate conditions in the FCC order were limited only to existing customers and circuits. Moreover, the Qwest representatives noted that even were carriers to seek to construct their own facilities in response to the lack of competitive alternatives (arising out of the merger), carriers will require some period of time to finance and implement such construction.

Compton and Clark addressed Telscape's recent proposal that the Commission require a fifty percent reduction in the price for unbundled two-wire residential unbundled loops as a condition to approving the merger between AT&T and SBC. Compton and Clark observed that that with the elimination of UNE-P, the ability of competitive local exchange carriers (CLECs) to compete successfully for basic telephone service will require them to transition to a UNE-L strategy; however, at current loop prices, the cost structure faced by a CLEC seeking to serve mass residential customers does not permit the CLEC to attract the capital it needs in order to install facilities. Telscape acknowledged that VOIP will eventually replace plain old telephone service, but that affordable access to necessary broadband service is still a number of years away for many customers. Telscape representatives explained that, while TELRIC-pricing rules would ordinarily prevent the Commission from unilaterally imposing loop prices reductions, requiring SBC's agreement to the loop discount as a condition to approving the merger would be permissible and, legally, no different from other types of conditions the Commission has imposed in exchange for approving other mergers in the past.
