SOUTHERN CALIFORNIA EDISON COMPANY
Description: On April 3, 2006, John Hughes, Manager, Southern California Edison Company (SCE), telephoned Stephen St. Marie, advisor to Cmmr. Bohn. Russ Worden, 2006 General Rate Case Manager, SCE, also participated in the conversation. The SCE representatives stated that in the most recent revised proposed decision, the new terms would eliminate the revenue requirement, but apparently allow SCE to record certain expenses in a memorandum account. The SCE representatives stated that actual terms of this memorandum account were unclear and that it may effectively eliminate utility-owned generation which would provide sustained cost-based service to SCE customers. The SCE representatives urged the Commission to explore the issues on this topic. The SCE representatives stated that in the IEP notice, its representative seemed to assert that utility-owned generation and options offered by `independent¿ generators should be treated similarly and the SCE representatives endorsed this theoretical objective. The SCE representative

INDEPENDENT ENERGY PRODUCERS ASSOCIATION
Description: On March 27, 2006, Brian T. Cragg, counsel for the Independent Energy Producers Association, had a telephone conversation with Steven St. Marie, advisor to Cmmr. Bohn. Cragg explained that, in order to ensure a competitive power market, project development costs for utility projects and independent power projects should be treated identically. Cragg explained that although the proposed decision (PD) for the General Rate Case (GRC) of Southern California Edison Company (SCE) embraced that principle, it proposed to include in rates the expenses of SCE's proposed Project Development Department (PDD). Cragg noted that the PD also made the PDD authorization subject to refund, but it is not clear which costs would be refunded and how and when the refund would be accomplished. Cragg suggested that the PD should be revised to be clearer. In addition, Cragg stated that a more direct way to accomplish the same result would be to deny SCE's request, to place shareholders at risk for recovery of project development cost

Description: On March 24, 2006, Brian T. Cragg, counsel for the Independent Energy Producers Association, had a telephone conversation with David Gamson, advisor to Cmmr. Brown. During the telephone conversation, Cragg explained that, in order to ensure a competitive power market, project development costs for utility projects and independent power projects should be treated identically. Cragg also explained that it is not clear that equal treatment of project development costs would be ensured under the proposed decision's treatment of the proposal of Southern California Edison Company to establish and fund a Project Development Department at ratepayers' expense.

Description: On March 22, 2006, Bruce Foster, Senior Vice President of Southern California Edison Company (SCE), met with Andrew Campbell, advisor to Cmmr. Chong, in San Francisco. Also present were John Hughes, Manager, and Russ Worden, 2006 General Rate Case (GRC) Manager, for SCE. Written materials (attached to the notice) were used. The SCE representatives stated that while the proposed decision (PD) would adjust $264 million from SCE's test year request, they would focus on some $152 million of the adjustment. The SCE representatives described the need to spend on training and recruitment at levels above what may be embedded in recorded expense. Worden and Foster stated that the PD cuts SCE's incentive compensation request in half. Hughes added that the PD would remove approximately $27 million of incentive compensation that was authorized into rates by the 2003 GRC decision. The SCE representatives described the consequences of capital budget cuts, showing an itemized list of system equipment that would not be repl

INDEPENDENT ENERGY PRODUCERS ASSOCIATION
Description: On March 20, 2006, Brian Cragg, counsel for Independent Energy Producers Association (IEPA), had a telephone conversation with Aaron Johnson, advisor to Cmmr. Grueneich. At the end of the conversation, Cragg sent to Aaron Johnson a copy of IEPA's opening brief filed on August 12, 2005. Cragg explained that the proposal of Southern California Edison Company to establish and fund a Project Development Department at ratepayers' expense would unfairly advantage utility generation over independent power producers.

Edison representatives stated that while the ALJ's proposed decision (PD) would adjust $264 million from Edison's test year request, the focus of the meeting would be on some $152 million adjustments. Worden argued that the PD finds that Edison's total compensation is 'reasonable' but cuts Edison's incentive compensation request in half. Description: On February 9, 2006, Brian Cragg, representing Independent Energy Producers Association (IEPA), had a telephone conversation with David Gamson, advisor to Cmmr. Brown. After the conversation, Cragg emailed to David Gamson a copy of IEPA's comments (attached to the notice). Cragg discussed IEPA's concerns with the proposed decision (PD), explaining that although the PD stated that Southern California Edison Company (SCE) should bear the same cost recovery risks for development of power plants and independent power providers, the PD nevertheless granted SCE's request for recovery in rates of nearly $5 million it proposed for the Project Development Department. Cragg stated that it appears that ratepayers would absorb the costs of unsuccessful projects and general costs of the Project Development Department.

Description: On December 9, 2004, Marc Joseph, attorney for the Coalition of California Utility Employees (CUE), met with David Gamson, advisor to Cmmr. Brown, in San Francisco. Also present were Russ Worden and John Hughes of Southern California Edison Company (SCE). Joseph explained the reasoning behind the Stipulation regarding reliability performance reached by CUE, SCE, and The Utility Reform Network. Joseph explained the reasons for proposing a different method for protecting reliability in this proceeding. Joseph indicated that the basic idea of the Stipulation was not to prejudge the amount the Commission would authorize for infrastructure investment, but to ensure that whatever the Commission authorized would not be diverted to other uses. Joseph urged that the Stipulation be adopted by the Commission.

Worden of SCE and Marc Joseph, attorney for the Coalition of California Utility Employees (CUE). Worden stated that the Electric Reliability stipulation between SCE, CUE and The Utility Reform Network will ensure that SCE's capital investment is directed to the areas that are most likely to preserve system reliability at current levels. Worden stated that SCE is committed to the capital investment program and stepped-up recruitment, training and retention of employees in the Transmission and Distribution Business Unit. Worden also noted that many assets in SCE's system are reaching the ends of their operating lives and must be replaced or repaired on an accelerated schedule. Worden stated that SCE prefers the terms of the pending stipulation and observed that the pending stipulation will not be unduly burdensome on SCE.

Description: On December 7, 2005, John P. Hughes, Regulatory Operations Manager of Southern California Edison Company (SCE), met with David Gamson, advisor to Cmmr. Brown, in San Francisco. Also present was Russell G. Worden, SCE's project manager. The SCE representatives described the SCE electric system, and explained that the system requires future investment greater than level of investment in the recent past and that only by stepping-up such investments will SCE be able to preserve current levels of electric system reliability. When discussing the subject of SCE's incentive compensation, Hughes and Worden pointed out that disallowing SCE's entire request, as proposed by the Office of Ratepayer Advocates (ORA), would place company employees eight percent below market in their compensation. Hughes and Worden stated that the Consumer Price Indexing methodology for recovering the revenue requirement in years between general rate cases does not reflect SCE's cost of doing business. Hughes and Worden noted that in this pr

Also present was Stephen St. Marie, advisor to Cmmr. Bohn. Written material (attached to the notice) was used. Hughes stated that in SCE's 2003 general rate case (GRC), the Commission had approved a Post Test Year Ratemaking mechanism that reflected SCE's capital budget for years 2004-2005 and that included a one-way balancing account. Hughes suggested that the Commission should continue with this mechanism for the 2006 GRC rate cycle. Hughes explained that SCE's Results Sharing program is a form of incentive compensation for its employees. Lastly, Hughes addressed depreciation rates. Hughes stated that the currently adopted rates are outdated and do not reflect appropriate removal costs for assets that are being replaced.
