Parrott stated that conducting settlement discussions with the parties would not be productive. Parrott stated that SDG&Es last and best proposal for a fair and equitable settlement relative to certain intermediate term contracts was embodied in SDG&Es proposed settlement agreement with the Commission in the Federal Court litigation. Parrott also discussed certain minor modifications to the proposed decision and the alternate. Parrott reminded the meeting participants that it was utility shareholders, not ratepayers, who incurred price risk under AB 1890, and in SDG&Es case SDG&E management calculated potential stranded costs at $1.7 billion.

Schavrien stated that if the Commission were to just reflect what the proposed decision (PD) said the ROE recommendation for San Diego Gas & Electric Company (SDG&E) would be at least 11.4%. Schavrien further stated that the PD correctly reflects that AA bond rates decreased for the other IOU's but increased by 129 basis points for SDG&E; however, the PD fails to reflect that increase in its recommendation. Schavrien stated further that in a departure from the language stating that the PD would adopt the high end of the range and contrary to what was proposed for the other two IOUs, it adopts the mid-point of SDG&E's range which was 50 basis points lower than the high end of the range. Katz stated that SDG&E believes that the PD ignores the facts in the case when it selected a lower reasonable range for SDG&E and in fact, SDG&E should be treated comparably to Southern California Edison Company and Pacific Gas and Electric Company.

Linsey stated that the alternate's claim that it is consistent with law is declaratory. Linsey explained that there is no dispute that the contract revenues are utility-owned or managed generation assets, yet the alternate would deprive ratepayers of a substantial portion of said revenues with no stated legal basis.

Schavrien also stated that he Commission's upside potential in the Federal litigation represented approximately 25% of its potential downside impact should SDG&E prevail in the court case. Katz and Reed noted the alternate proposed by Cmmr. Peevey was an equitable solution.
