Description:
On December 2, 2002, Steve Linsey, Supervisor, Office of Ratepayer Advocates,
met with Cmmr. Brown in an all-party meeting in San Francisco. Also present
were David Gamson, advisor to Cmmr. Brown, Steven Weissman, advisor to Cmmr.
Wood, Kevin Coughlan and Peter Arth, advisors to Cmmr. Peevey, Sara Myers for
the City of San Diego, Norm Furuta for Federal Executive Agencies, Ron Liebert
for California Farm Bureau Federation, and Jeff Parrott and W. Davis Smith for
Sempra/San Diego Gas & Electric Company. Linsey addressed the numerous and
substantial flaws of the revised alternate sponsored by Cmmr. Peevey. Linsey
expressed concern that it exempted the utility as well as the Commission itself
from the Commissions own rules. Linsey also noted significant substantive
problems with the revised alternate.

Description:
On December 2, 2002, Jeffrey M. Parrott, representing San Diego Gas & Electric
Company (SDG&E), met with Cmmr. Wood in an all-party meeting in San Francisco.
Also present were Steven Weissman, advisor to Cmmr. Wood, Steve Linsey of the
Office of Ratepayer Advocates, Norman Furuta of the Federal Executive Agencies,
Ronald Liebert for the California Farm Bureau Federation and Sara Steck Myers
for the City of San Diego. Parrott stated that conducting settlement
discussions with the parties would not be productive. Parrott stated that
SDG&Es last and best proposal for a fair and equitable settlement relative to
certain intermediate term contracts was embodied in SDG&Es proposed settlement
agreement with the Commission in the Federal Court litigation. Parrott also
discussed certain minor modifications to the proposed decision and the
alternate. Parrott reminded the meeting participants that it was utility
shareholders, not ratepayers, who incurred price risk under AB 1890, and in
SDG&Es case SDG&E management calculated potential stranded costs at $1.7
billion.

in San Francisco. Also present were Peter Hanson, advisor to Cmmr. Brown, and
Leslie Katz, Regional Vice President of SEU. Reed referred to additions to the
proposed decision (PD) and stated that there was a lack of due process on the
section 815 issue raised in the revisions. Reed noted that neither section 851
nor affiliate rules are applicable in this instance. Reed explained that the
contracts were never intended for dedication to public use such that they never
became used and useful to San Diego Gas & Electric Company in the provision of
its public utility services.

On October 29, 2002, Lee Schavrien, Vice President Regulatory Affairs, Sempra
Energy Utilities (SEU), met with Kevin Coughlan, advisor to Cmmr. Peevey, in
San Francisco. Also present was Leslie Katz, Regional Vice President, for SEU.
Schavrien stated that if the Commission were to just reflect what the proposed
decision (PD) said the ROE recommendation for San Diego Gas & Electric Company
(SDG&E) would be at least 11.4%. Schavrien further stated that the PD
correctly reflects that AA bond rates decreased for the other IOU's but
increased by 129 basis points for SDG&E; however, the PD fails to reflect that
increase in its recommendation. Schavrien stated further that in a departure
from the language stating that the PD would adopt the high end of the range and
contrary to what was proposed for the other two IOUs, it adopts the mid-point
of SDG&E's range which was 50 basis points lower than the high end of the
range. Katz stated that SDG&E believes that the PD ignores the facts in the
case when it selected a lower reasonable range for SDG&E and in fact, SDG&E
should be treated comparably to Southern California Edison Company and Pacific
Gas and Electric Company.

present were David Gamson and Peter Hanson, advisors to Cmmr. Brown, Steve
Weissman and Bill Julian, advisors to Cmmr. Wood, Laura Krannawitter, advisor
to Cmmr. Duque, Kevin Coughlan and Peter Arth, advisors to Cmmr. Peevey, Sara
Myers, Fritz Orlieb and William Monsen for the City of San Diego, Norm Furuta
for Federal Executive Agencies, Michael Shames for Utility Consumer Action
Network, and Jeff Parrott, Leslie Katz, William Reed and Lee Schavrien for San
Diego Gas & Electric Company. Linsey stated that the alternate of Cmmr. Peevey
failed to meet the standards the Commission applied to settlements, among
various other failings. Linsey noted that typically a finding of public
interest was predicated on the breath of support, and no consumer group
supported the settlement. Linsey stated that the alternate's claim that it is
consistent with law is declaratory. Linsey explained that there is no dispute
that the contract revenues are utility-owned or managed generation assets, yet
the alternate would deprive ratepayers of a substantial portion of said
revenues with no stated legal basis.

Sempra Energy Utilities (SEU), met with David Gamson, advisor to Cmmr. Brown,
in San Francisco. Also present were Lee Schavrien, Vice President, and Leslie
Katz, Regional Vice President, for SEU. Schavrien stated that the proposed
decision acknowledges the fact that the Intermediate Term Contracts were in
fact treated as shareholder assets, but it then proceeds to use its
interpretation of the language contained in Public Utilities Code Section 332.1
as the basis for reaching its determination that the profits from June 2000 to
January 2001 were ratepayer assets. Schavrien argued that the language in
332.1 was not definitive as to what generation asset revenues should be used to
offset any undercollection. Schavrien also stated that he Commission's upside
potential in the Federal litigation represented approximately 25% of its
potential downside impact should SDG&E prevail in the court case. Katz and
Reed noted the alternate proposed by Cmmr. Peevey was an equitable solution.

Energy ("Sempra"), met with Dave Gamson, advisor to Cmmr. Brown, in San
Francisco. Also present were Laura Krannawitter, advisor to Cmmr. Duque, and
Claudine Swartz, Government and Regulatory Affairs Manager for Sempra. Written
material (attached to the notice) was used. Schavrien stated that San Diego
Gas & Electric Company's Memorandum of Understanding ("MOU") with the State of
California eliminates the $750 million net balance in the AB 165 Revenue
Shortfall Account. Swartz stated that the MOU results in wiping out a balloon
payment of approximately $400 for typical residential customer, $1,400 for
typical small commercial customer, and $12,000 for typical mid-sized commercial
customer.
