Description:
SUMMARY: On November 29, 2007, Mike Hoover, Director Regulatory Affairs of
Southern California Edison Company (SCE) met with Pres. Peevey in San
Francisco. Also present were Andy Schwartz, advisor to Pres. Peevey; Lad
Lorenz, VP Regulator Affairs of San Diego Gas & Electric Company (SDG&E) and
Southern California Gas Company (SoCalGas); Mark Gaines, Director of Customer
Programs of SDG&E and SoCalGas; Tom Bottorff, Sr VP Regulator Affairs for
Pacific Gas and Electric Company (PG&E); Brian Cherry, Vice President,
Regulatory Relations for PG&E; Robert McLennan, attorney for PG&E; Bruce
Foster, Sr VP Regulatory Affairs for SCE; and Mike Hoover, Director of
Regulatory Affairs for SCE. McLennan explained that the adopted shareholder
incentive mechanism contains several abrupt points, the ramifications of such
could require utilities that achieved successful results for interim claims
based on the number of installed energy efficiency measures to have to pay back
a portion or all of the interim claim with small changes in the amount of
measured savings in the true-up claim after the completion of a three-year
program cycle. McLennan pointed out that the petition for modification attempts
to remedy the problem by allowing utilities to continue earning if the number
of energy efficiency installations meets the minimum performance standard of
85% of the Commission's energy-saving goals. McLennan further pointed out that
these changes the energy efficiency shareholder incentive mechanism can be
recognized by the financial community as a regular part of each utility's
business. Lorenz pointed out that due to the exceedingly high energy efficiency
goals adopted by the Commission, both SDG&E and SoCalGas were particularly
susceptible to the payback requirements contained in the current decision.

efficiency measures to have to pay back a portion or all of the interim claim
with small changes in the amount of measured savings in the true-up claim after
the completion of a three-year program cycle. Bottorff mentioned that because
of the uncertainty associated with the ex post measurement of actual energy
savings for the final claim and the possibility of a payback requirement for
small changes in measured savings, the current mechanism would make it
difficult for utilities to book interim earnings or to treat earnings as a
regular part of earnings. Cherry further pointed out that the petition for
modification attempts to remedy the problem by allowing utilities to continue
earning if the number of energy efficiency installations meets the minimum
performance standard of 85% of the Commission's energy-saving goals. Cherry
mentioned, however, the final, measured savings come in at less than 85% which
is still above the Commission's threshold for penalties at 65% of the
Commission's goals. The petition for modification, he added, also requests that
the payback requirement be eliminated. McLennan further pointed out that these
changes the energy efficiency shareholder incentive mechanism can be recognized
by the financial community as a regular part of each utility's business.

and Electric Company (PG&E); and Robert McLennen from PG&E. Hoover explained
that the joint utilities' Petition for Modification of Decision 07-09-043 was
necessary in order to produce a level of certainty and predictability in the
earnings associated with the Energy Efficiency Incentive Mechanism. Hoover
stated that the financial community required a certain level of certainty with
respect to earnings in order to consider them in the financial ratings of the
IOUs. Hoover discussed his understanding of how the Energy Efficiency Incentive
Mechanism worked and how it created uncertainty with the financial community
because the potential for substantial true-up would reduce certainty. Hoover
stated that the Petition for Modification would help provide certainty such
that the Energy Efficiency Incentive could benefit the IOUs' financial ratings.

Description:
On November 13, 2007 Sidney Dietz, Chief, Regulatory Relations for Pacific Gas
and Electric Company (PG&E) had a telephone conversation with Andrew Schwartz,
advisor to Pres. Peevey in San Francisco. Dietz explained that if the joint
utilities' Petition for Modification of Decision 07-09-043 is granted, the
total net benefits of the energy efficiency program portfolio would be shared
with the IOUs using a percentage--zero, nine, or twelve percent based on the
actual installation of energy efficiency measures and practices and estimates
of energy savings, based on the best available information, for the initial
interim claims. Dietz stated that if the petition for modification is granted,
adjustments in the final true-up would not affect that interim incentive
payments, but only the final true-up payment. The only exception is if the
final ex post results were to drop the utility's performance below sixty five
percent of the Commission's energy-saving goals, in which case penalties and
forfeiture of interim payments could result.

Description:
On October 22, 2007 Brian Cherry, Vice President, Regulatory Relations of
Pacific Gas and Electric Company (PG&E) had a conference call with ALJ
Gottstein. Hazlyn Fortune, advisor to Cmmr. Grueneich; Robert McLennan,
attorney for PG&E; William Miller, Principle Regulatory Analyst, Customer
Energy Efficient for PG&E; Duane Larson, Senior Manager, Customer Energy
Efficiency for PG&E; Lynda Ziegler, Senior Vice President, Customer Service for
Southern California Edison Company (SCE); Linda Sullivan, Vice President and
Controller for SCE; Gene Rodriguez, Director, Energy Efficiency for SCE; Anne
Smith, Senior Vice President, Customer Services for San Diego Gas & Electric
Company and Southern California Gas Company (jointly, SDG&E/SoCalGas); Lad
Lorenz, Vice President, Regulatory Affairs for SDG&E/SoCalGas; and Mark Gaines,
Director, Customer Programs for SDG&E/SoCalGas. McLennan stated his
understanding of the numerical calculation of potential shareholder rewards
under various scenarios between the interim ex ante reward claims and the final
ex post true up claim with a change that interim claims would not have to be
paid back. McLennan also stated the qualitative analysis of the risk of
utilities claimed energy savings dropping sufficiently so that the 'no payback'
change would become a factor, for inclusion in the petition of modification.
