1. Summary

This decision grants Pacific Gas and Electric Company (PG&E's) and San Diego Gas and Electric Company (SDG&E's) requests for approval of Operating Agreements between PG&E and The California Department of Water Resources (DWR) subject to certain modifications. Appendices A and B of this decision contain "clean" copies of the approved Agreements for PG&E and SDG&E respectively. PG&E and SDG&E are ordered to file advice letters with the executed copies of the modified Agreements within seven days. The joint motion for a stay is denied.
