10. Sections 377 and 454.5(j)

During the course of these proceedings, the parties addressed the applicability of §§ 377 and 454.5(j) to the sale of the Pipeline Assets and Pump Station Assets. There is no dispute that the sale of these assets is not restricted by § 377, neither is the sale subject to the showing required by § 454.5(j), because PG&E no longer owns the Pittsburg and Contra Costa Power Plants, and PG&E has no intention to use these assets directly or indirectly, for generation purposes.
