Bankruptcy Proceedings

As a preliminary matter, we must determine whether PG&E has authority to transfer the property. The utility is the debtor and debtor-in-possession in a Chapter 11 proceeding brought under the Federal Bankruptcy Act now pending before the United States Bankruptcy Court.4 The Bankruptcy Court has entered a comprehensive order authorizing PG&E to sell certain types of property, including the property subject to this application, without further order of the Bankruptcy Court.5 Subject to our approval under Section 851, PG&E has the requisite authority of the Bankruptcy Court to make the proposed conveyance.
