Section 9. Representations and Warranties.

(a) Each person executing this Servicing Order for the respective Parties expressly represents and warrants that he or she has authority to bind the Party on whose behalf he or she has executed this Servicing Order.

(b) Each Party represents and warrants that it has the full power and authority to execute and deliver this Servicing Order and to perform its terms, that execution, delivery and performance of this Servicing Order have been duly authorized by all necessary corporate or other action by such Party, and that this Servicing Order constitutes such Party's legal, valid and binding obligation, enforceable against such Party in accordance with its terms.
